(“Company,” “we,” “us,” “our”), you agree to be bound by the following Terms and Conditions. Please read carefully before using this Website or placing an order/engaging services. If you do not agree, do not access or use the Website or our services.

You may use the content of this site only for the purpose of shopping on this site, placing an order, or engaging services and for no other purpose. No materials may be copied, reproduced, modified, republished, uploaded, posted, transmitted, or distributed without prior written permission. Unauthorized use may violate copyright, trademark, or other laws and could result in civil or criminal penalties.

We keep your personal information private and secure. When you make a purchase or engage services, you provide your name, email address, billing/shipping address, phone number, and payment details. We use this information to process orders/invoices, update you on status, and personalize your experience. Our servers protect your information with encryption and firewall technology.

Payments, Fraud Prevention, and Chargebacks
We accept cryptocurrency payments at no additional charge. For credit card and ACH payments, additional fees may apply and are disclosed at checkout.
To protect against fraud and unauthorized use, we enforce the following policies through our payment processor (Stripe):
3D Secure (3DS) authentication is required on high-value transactions. Address Verification (AVS): your billing address must match the address on file with your bank. CVC and Postal Code Verification: failed checks will result in declined orders. Country Restrictions: only U.S.-issued cards are accepted. Orders from mismatched IP addresses and card countries will be blocked. Anonymous IPs/VPNs/Proxies: payments from masked networks are automatically declined. Prepaid/Gift Cards: may be blocked to reduce fraud.
Incorrect billing details, mismatched addresses, or the use of VPNs/proxies will result in order cancellation. Orders that do not pass verification will not be accepted.
We do not accept money orders, cashier’s checks, or personal checks. Company checks will not be accepted for purchases of Bitcoin mining equipment or hardware. Company checks may be accepted, at our sole discretion, only from established MSP (IT consulting) clients who maintain an ongoing business relationship with the Company. Bulk orders may be paid by wire transfer or cryptocurrency; invoices will be provided upon request.
Chargebacks. All payments made to the Company are final and non-refundable except as expressly set forth in these Terms. You agree not to initiate, cause, or threaten any chargeback, reversal, dispute, or claim with your credit card issuer, bank, payment processor (including but not limited to Stripe or similar providers), or any other financial institution for any transaction related to Bitcoin miners, hardware, IT consulting services, or any other goods or services provided by the Company. Any such action constitutes a material breach of these Terms.
In the event you file or cause a chargeback (whether fraudulent, abusive, or otherwise), you shall immediately reimburse the Company for: (i) the full amount of the disputed transaction; (ii) all chargeback fees, fines, penalties, or assessments imposed by the payment processor, card network, or bank; and (iii) any additional costs or damages incurred by the Company, including but not limited to reasonable attorneys’ fees, collection costs, and administrative expenses. The Company reserves the right to report any fraudulent or bad-faith chargeback to credit bureaus as a delinquent account and to pursue all available legal remedies, including without limitation collection actions, termination of your account, and injunctive relief. You further agree that proof of delivery or provision of the goods/services (as applicable) shall be sufficient to establish your liability under this clause. This provision survives termination of these Terms.

Personal Guarantee of Payment
If the purchaser or client is a corporation, limited liability company, partnership, or any other business entity, then the individual(s) who accept these Terms and Conditions, sign any related agreement, place any order, or engage services on behalf of the purchaser/client (the “Guarantor(s)”) hereby personally, unconditionally, irrevocably, and jointly and severally (if more than one) guarantee the full and prompt payment of all invoices, fees, charges, and other amounts owed by the purchaser/client to the Company, whether now existing or hereafter incurred (including for Bitcoin miners, hardware, or IT consulting services). This personal guarantee is absolute and continuing, survives any termination or modification of these Terms or the purchaser/client’s relationship with the Company, and is not conditioned upon any attempt by the Company to first exhaust remedies against the entity or any other person.
The Guarantor(s) waive any defense based on lack of notice, suretyship, or requirement to proceed against the purchaser/client first. In the event of non-payment, the Company may pursue collection directly from the Guarantor(s) personally, including without limitation all costs of collection, reasonable attorneys’ fees, interest, and other expenses. This guarantee shall remain in full force and effect notwithstanding the death, disability, or insolvency of any Guarantor. By accepting these Terms, placing an order, or engaging services, the Guarantor(s) acknowledge and agree to this personal liability.

Late Payments
Any unpaid invoices shall accrue interest at the rate of 1.5% per month (or the maximum rate permitted by law, whichever is less) from the due date until paid in full. All collection costs, including reasonable attorneys’ fees, shall be your responsibility.

Order Acceptance Policy
Your receipt of an order confirmation does not signify acceptance. We reserve the right to decline or cancel any order for any reason, including suspected fraud or non-compliance with our payment policies.

Out-of-Stock Products
We will notify you if items are unavailable. Orders received on weekends or holidays ship on the next business day. You may choose to wait for back-ordered items or cancel them.

Repair Orders
Repair orders are subject to our standard repair policies and procedures. Please contact us for an RMA number and specific terms.

Warranty & Returns
Bitcoin mining equipment performance depends on factors outside our control (electricity rates, network difficulty, cooling, location). We make no guarantees regarding profitability, return on investment, or future hash rates. For IT consulting and MSP services, please refer to our separate Master Services Agreement (available at msp.vmssecuritycloud.com).
VMS Security Cloud warrants products against defects under normal use as specified in the product description. Warranty claims require an RMA number. Customers are responsible for shipping and insurance costs to us; we cover return shipping for approved warranty claims.
Not Covered: misuse, overclocking, under/overpowering, modification, abuse, or accidents. Warranty applies only to the original purchaser.
Returns/Refunds: All sales are final unless otherwise stated. Incorrect shipments caused by us may be returned within 10 days for replacement or credit. Refunds on cryptocurrency payments will be calculated based on the USD-to-crypto exchange rate at the time of refund.
Except as expressly stated in this section, all products and services are provided “AS IS” and “AS AVAILABLE.” The Company expressly disclaims all implied warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Shipping
Shipping costs are based on your selected method. Delivery times are estimates only. You are responsible for import duties, tariffs, and taxes in your country. We are not liable for delays or damages caused by carriers, customs, or third-party logistics.
Title to all hardware passes to you upon shipment from our facility. All risk of loss or damage during transit is borne by you. We recommend purchasing shipping insurance.

Safety Notice
Our cryptocurrency mining equipment may operate at high temperatures. Do not touch while operating. Keep children, pets, and flammable materials away. You assume full responsibility for maintaining a safe operating environment.

Limitations of Liability
IN NO EVENT SHALL VMS SECURITY CLOUD INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING OUT OF THE USE OF OUR WEBSITE, PRODUCTS, OR SERVICES.

Force Majeure
The Company shall not be liable for any delay or failure to perform its obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, pandemics, government orders, war, terrorism, strikes, labor disputes, supply-chain disruptions, power outages, or changes in cryptocurrency mining difficulty or regulations.

Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved by binding arbitration through the National Arbitration Forum in Nassau County, New York. The parties consent to the personal jurisdiction of the courts located in Nassau County, New York for any matters not subject to arbitration.

Non-Solicitation
Customer will not solicit VMS Security Cloud employees, contractors, affiliates, or agents for services without prior written consent.

Indemnification
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use or misuse of any Bitcoin mining equipment; (ii) any violation of applicable mining, cryptocurrency, or data privacy laws in your jurisdiction; or (iii) any breach of these Terms.

Attorneys’ Fees
In any arbitration or litigation, VMS Security Cloud shall be entitled to recover its costs and reasonable attorneys’ fees.

Miscellaneous
These Terms constitute the entire agreement between you and the Company and supersede all prior understandings. If any provision is held invalid or unenforceable, the remainder shall continue in full force and effect. Our failure to enforce any right does not waive it. You agree that electronic acceptance (clicking “I Agree,” placing an order, or engaging services) is valid and binding.
